Terms of Service

1. Acceptance of Terms

By accessing or using Uomi ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service. We reserve the right to modify these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

Uomi is an expense tracking and splitting application that allows users to create groups, record shared expenses, calculate balances, and track settlements between group members. The Service is provided for personal, non-commercial use to help friends, roommates, and groups manage shared expenses.

3. Account Registration

To use certain features of the Service, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information as needed
  • Keep your account credentials secure and confidential
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

4. User Conduct

You agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Violate any applicable laws or regulations
  • Impersonate any person or entity
  • Upload viruses, malware, or other malicious code
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Use the Service to harass, abuse, or harm others
  • Interfere with or disrupt the Service or servers
  • Create false or fraudulent expense records
  • Use automated systems to access the Service without permission

5. User Content

You retain ownership of any content you submit to the Service, including expense descriptions, receipt images, and profile information. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and display your content solely for the purpose of providing and improving the Service. You are responsible for ensuring that your content does not violate any third-party rights.

6. Expense Tracking and Settlements

The Service provides tools to track expenses and calculate balances:

  • Uomi is a tracking tool only and does not process financial transactions
  • Actual money transfers between users must be handled through external payment methods
  • We are not responsible for disputes between users regarding expenses or settlements
  • Balance calculations are based on the data you and your group members enter
  • You are responsible for verifying the accuracy of expense entries and settlements

7. Groups and Shared Access

When you join or create a group, you understand that other group members will be able to see your shared expense data, including your name, expenses you create, and your balance within the group. Group invite links can be shared with others, and anyone with the link can join the group. You are responsible for managing who has access to your groups.

8. Intellectual Property

The Service, including its design, features, and content (excluding user-generated content), is owned by Uomi and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UOMI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, PROFITS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST TWELVE MONTHS.

11. Indemnification

You agree to indemnify, defend, and hold harmless Uomi and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will cease immediately. You may delete your account at any time through the account settings.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts of Singapore.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
